Welcome to the MPD Voice. This website is available at the domains and sub-domains www.mpdvoice.org.uk (the “Site”) and is provided by MPD Voice (“we”, “our” or “us”), a registered charity under No. 251983-30, and whose registered office is at MPD Voice, c/o Guy’s and St Thomas’ Charity, 1st Floor, The Counting House, Guy’s Hospital, St Thomas’ Street, London SE1 9RT.

These General Terms and Conditions, the Registration Terms and Conditions (see below) and the Privacy Policy (collectively the “Agreement”) apply to, and govern, your use of the Site. By accessing the Site, you agree to comply with the terms of this Agreement. If you do not agree to be bound by the terms of this Agreement, you should not use or access the Site.

You should read all of the terms of this Agreement prior to using the Site. You should also save and print out a copy of these terms and conditions for future reference. If you are uncertain about any of the terms or the operation of the Site, please send an email to info@mpdvoice.co.uk or by post at the address set out above and we shall endeavour to respond to your query as soon as we are able.

Registration

There are some portions of the Site that are restricted such as those where you can upload or post content (“Registered User Areas”). You must first register and become a “Registered User” before you can access the Registered User Areas. To become a Registered User you must provide us with a verifiable e-mail address, complete all the required fields in the Registered User application form, choose a screen name, scroll through, read and accept the Registration Terms and Conditions (see below) and complete the registration process. We will send you a confirmation e-mail with your registration information. If you do not receive such confirmation e-mail you shall not be considered a Registered User and shall not have access to the Registered User Areas.

Amendments to this Agreement

We may amend the terms of this Agreement at any time by posting the amended details on the Site. Any amendments will govern new registered users from the date that such revised terms are posted on the Site. Existing users will be bound by the amendments after the expiry of 30 days from the date of posting. If existing users do not agree and/or do not wish to comply with any such amended terms, they should stop using the Site.

Eligibility of Users

Our services are not available to, and may not be used by, anyone under 18, whose access to the Site or our services have been temporarily or indefinitely suspended or who is not resident in the United Kingdom. If you are under 18, you can use this Site only with the consent of, in conjunction with and under the supervision of a parent or guardian. If you do not qualify, please do not use our Site.

Information on the Site

We do not control the information provided by other registered users which is made available through the Site. If you find any other user’s information or listings to be in any way offensive, obscene, defamatory, racist, harmful, inaccurate, unlawful, illegal or deceptive in any way, please notify us.

Intellectual Property Rights

All product names mentioned on the Site are the trademarks of their respective owners or licensors. We have not conferred on you by implication, or otherwise, any licence or right to use such material (except as expressly provided).

Subject to the terms of this Agreement, we grant you a personal, non-exclusive, non-transferable, limited right to access and view one copy of this Site and all data, information, software graphics, images, text, posts and other content contained in or available via the Site, including, without limit, any software available for download via the Site (“Materials”) on a single device. We expressly reserve all intellectual property rights in all Materials contained on the Site.

We authorise you to view and use the Site and the Materials only for your personal, non-commercial use. Your use of the Site and Materials is subject to the following restrictions: (a) you must retain, on all copies of the Materials used, all copyright and other proprietary notices contained in the Materials; (b) you may not modify the Materials in any way or reproduce or publicly display, perform, or distribute or otherwise use them for any public or commercial purpose; and (c) you must not transfer the Materials to any other person. You may not use any Materials on our Site nor shall you distribute, communicate it to the public or otherwise distribute the same without our prior written consent. You shall not link to our Site or frame it in any way without our prior written consent.

Third Party Sites

The Site and/or the Materials may contain links to third party web sites. If you decide to visit any third party site, you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements. We cannot guarantee in any way any third party web sites or the information appearing, or any of the products or services described, on such sites. Links do not imply that we or this Site sponsors, endorses, is affiliated or associated with, or is legally authorised to use any trademark, trade name, logo or copyright symbol.

Accuracy of Information

The information contained on this Site is for information purposes. Whilst every care has been taken in its preparation, we do not make any warranties or representations as to its accuracy or reliability. We neither accept nor assume any reliability in relation to the contents of these pages which should not be relied upon as accurate.

The pages contained in this Site may contain technical inaccuracies and typographical errors. The information in these pages may be updated from time to time and may at times be out of date. We accept neither responsibility for keeping the information in these pages up to date nor liability for any failure to do so.

Our Liability

Nothing in these terms and conditions shall exclude our liability for death or personal injury arising out of negligence or for fraud or any other liability that may not be excluded or limited by law. Neither you nor we shall be liable under the terms of this Agreement and for losses other than for those which are a reasonably foreseeable consequence of breach of the terms of this Agreement.

If two or more registered users are introduced to one another via the Site, the responsibility for such correspondence and any such relationship rests with the registered users of the Site and not us. We cannot be involved or be responsible in any way for any such relationship or correspondence.

You agree to compensate us and (as applicable) our parent, subsidiaries, affiliates, officers, directors, agents, and employees, in respect of all reasonable costs, losses, damages, expenses, claims or demands, including reasonable legal fees incurred by any of the same in connection with any third party claim arising out of your breach of the terms of this Agreement.

To the extent permitted by law, we assume no responsibility, and disclaim all liability. for any errors or omissions in material published on the Site by third parties or in any other documents or sites which may be referred to or linked to by such material, including links to third party sites.

To the maximum extent permitted by law, we exclude all terms, representations, warranties and conditions that may be implied by law or otherwise.

No Medical Advice

This Site does not offer medical advice and nothing contained in the Site is intended to constitute professional advice for medical diagnosis or treatment or to advocate or recommend the purchase or selection of any product, service or to endorse or guarantee the qualifications, credentials or appropriateness of any health care provider linked to or advertised on this program. Governing Law and Legal Compliance

This Agreement shall be governed by and construed in accordance with English law and shall be subject to the exclusive jurisdiction of the English courts. For the avoidance of doubt, unless otherwise expressly stated, no term of this Agreement shall be enforceable by a third party under the Contracts (Rights of Third Parties) Act 1999.

REGISTRATION TERMS AND CONDITIONS

General

These terms and conditions (the “Registration Terms and Conditions”) should be read in conjunction with the General Terms and Conditions and the Privacy Policy. Unless expressly stated otherwise, all capitalised terms used in these Registration Terms and Conditions shall have the same meaning given to them in the General Terms and Conditions and the Privacy Policy.

Registration Process

Before you are able to access any Registered User Areas, you must scroll through, read and accept the Registration Terms and Conditions. If you do not accept these Registration Terms and Conditions, you may not upload or post content or access the Registered User Areas of the Site. By clicking “I Accept”, you accept the terms of this Agreement and the Privacy Policy and you shall become a “Registered User”. If for any reason you do not accept the terms of this Agreement do not click “I Accept” at the end of this Agreement, do not attempt to sign up or register and do not access or use or attempt to access or use the Registered User Areas. Submission of Content

Once you are accepted as a Registered User after following the registration process and accepting these Registration Terms and Conditions, you may upload or post your content such as graphic, textual or other visual content for use on the Site and in accordance with the terms of this Agreement.
All content submitted by you, including, but not limited to, your name, likeness, image, photograph, biographical information and all other names, likenesses, images, photographs, graphics, logos, marks, text and all other information and material shall becalled “Your Content” for short.

You grant us a non-exclusive licence to use Your Content on the Site for use on the Site in accordance with the terms of this Agreement and for such other uses as we think fit (including, without limit, the right to sub-licence to third parties) in our absolute discretion via any and all media (whether existing now or invented in the future). You grant us all necessary rights, licences, consents and clearances to allow us to use Your Content in accordance with the terms of this Agreement and waive and agree not to assert any moral or similar rights you may have in any Content that you submit.

Your Content in any way we see fit in any media whatsoever (whether existing now or created in the future).

You guarantee that Your Content or its use in accordance with the terms of this Agreement shall not:
infringe copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any other person or entity;
contain any person(s) (or any Personal Information relating to any persons) under 18 unless you are either their parent or legal guardian or have obtained the signature and authority of a parent or legal guardian of any such person permitting you to submit such person’s likeness, name or other content related to such person;
contain any content that does not meet our Content Standards (see below);
malicious code, such as viruses, worms, Trojan horses or other potentially harmful programs or material; and
violate any applicable law, statute, ordinance, rule or regulation.
If Your Content contains any material that is not owned by or licensed to you and/or which are subject to third party rights, you are responsible for obtaining, prior to submission of Your Content, all releases, consents and/or licenses necessary to permit use and exploitation of Your Content by us in accordance with the terms of this Agreement without additional compensation. You promise that you are the person depicted in any images submitted as part of Your Content and/or, if Your Content contains the images, voice or name of any third party, you have obtained the prior written consent of that third party to submit such content to our Site.

Your Content

Whenever you submit Your Content to the Site or contact other Registered Users, you must comply with our Content Standards. If you do not comply with our Content Standards, we reserve the right to suspend you from using the Site and/or accessing the Registered User Areas without notice.

Content Standards

Your Content must:
• be accurate where it states facts;
• be genuinely held it states opinions; and
• comply with applicable law in any country in which they are posted.
Your Content must not:
• contain any material which is defamatory of any other person;
• contain any material which is obscene or offensive;
• infringe any copyright, database right or trade mark of any other person;
• be likely to deceive any person;
• be made in breach of any legal duty owed to a third party such as a contractual duty or a duty of confidence;
• be likely to harass, upset, embarrass, alarm or annoy any other person;
• be likely to disrupt our service in any way;
• give the impression that they emanate from us where this is not the case; and
• advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

Use of Your Content

We reserve the right to reject, block, suspend or remove Your Content at any time and in our sole discretion. We in no way guarantee that Your Content or any part of it will be displayed on the Site.

Common Sense and Disclosure of Personal Information

Please use caution and common sense when using the Site. We cannot guarantee in any way that other registered users of the Site are always honest and acting in good faith, although we will bar or suspect any registered users whom, in our discretion, we feel are abusing the spirit of the Site and who fail to comply with these terms and conditions.

Always exercise caution and care before disclosing any Personal Information or entering into any form of correspondence with another person. Do not disclose your full name, details of your home address or details of your workplace to any person unless you are confident you know who they are.

Please note that there are risks of dealing with underage persons or people acting under false pretences. By using this Site, you agree to accept such risks and agree that we are not responsible for the acts or omissions of users on the Site.

Indemnity

You agree to compensate us and our respective trustees, officers, employees, and applicable third parties in full from and against all third party claims, liabilities, losses and expenses (including reasonable legal fees) suffered by such persons arising out of, or related to or which may arise from Your Content and/or any breach by you of any term of this Agreement.
